Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the RowSink website, API, and related services (the "Service") operated by Formilis Studio ("we," "us," or "our"). RowSink turns your Google Sheets into live API endpoints so you can collect and manage data without a backend.

Please read these Terms carefully. By using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Acceptance of terms

By creating an account, accessing the Service, or using our API or website, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account and eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.

4. Use license and acceptable use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial use in accordance with our documentation and policies.

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of others or restrict or inhibit their use of the Service. You are responsible for ensuring that any data you collect or transmit through the Service complies with applicable laws, including privacy and data protection regulations.

5. Prohibited conduct

You may not:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to our systems, other accounts, or any third-party systems
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein
• Reverse engineer, decompile, or attempt to extract the source code of the Service (except where permitted by law)
• Resell, sublicense, or commercially exploit the Service except as expressly permitted by your plan
• Use the Service to send spam, malware, or other harmful or abusive content
• Collect or process personal data through the Service without a lawful basis and appropriate disclosures

We may suspend or terminate your access if we reasonably believe you have violated these Terms or engaged in prohibited conduct.

6. User content and data

You retain ownership of any content, data, or materials you provide or collect through the Service ("User Content"). You are responsible for your User Content and for ensuring that you have all rights and consents necessary to use it in connection with the Service.

Data that you send to your RowSink endpoints (e.g. form submissions, API payloads) is routed to the Google Sheet you have linked. We do not store the contents of your spreadsheets or the data sent to your endpoints beyond what is necessary to operate the Service (e.g. transient processing). Our handling of personal data is described in our Privacy Policy.

By using the Service, you grant us a limited license to use, process, and transmit your User Content only as necessary to provide, operate, and improve the Service and to comply with applicable law.

7. Service availability and modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue the Service (or any part of it) with or without notice. We may also impose limits on certain features or restrict access to parts of the Service. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

We are not responsible for the accuracy, completeness, or legality of data you collect or store via the Service, or for the actions of third parties (including Google) whose services you use in connection with RowSink.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE (OR OUR AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Formilis Studio and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms or any applicable law, or (d) your violation of any third-party rights.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

12. Changes to terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may notify you by email or through a prominent notice on the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

13. Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Formilis Studio operates, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved in the courts of that jurisdiction, except where prohibited by law (e.g. consumer protection laws in your country may give you additional rights).
